By accessing and using Criteriant ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Criteriant is an ACCME accreditation management platform that helps Continuing Medical Education (CME) providers track accreditation criteria, manage evidence, and monitor readiness for ACCME accreditation.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and account
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this requirement.

4. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Violate or infringe upon the rights of others
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Upload or transmit viruses, malware, or other malicious code
Collect or harvest information about other users
Use the Service to send spam or unsolicited communications

5. User Content

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to upload your User Content and that it does not violate any laws or third-party rights.

6. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, including encryption, secure authentication, and role-based access controls.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Criteriant and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Subscription and Payment

8.1 Subscription Plans

Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.

8.2 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the Service will immediately cease.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

IN NO EVENT SHALL CRITERIANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless Criteriant and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
